- Maintain proper records in accordance with applicable laws and regulations
- Inform us of any material changes affecting accounting, tax, or compliance matters
- Pay agreed service fees on time
Fairpoint shall not be responsible for delays, penalties, or inaccuracies arising from incomplete, inaccurate, or delayed information provided by the client.
Professional Limitations
Our services are based on the information and documents provided by the client. We rely on the accuracy and completeness of such information unless otherwise agreed upon in writing.
Unless specifically stated in a separate written agreement, our services do not constitute:
- Audit or assurance engagements
- Legal advice or legal representation
- Investment or financial guarantee services
- Fraud investigation or forensic examination
Clients are encouraged to consult qualified legal counsel or other professionals when necessary.
Fees and Payments
Service fees may vary depending on the scope, complexity, transaction volume, urgency, and nature of the engagement.
Clients agree to pay all agreed fees and charges within the specified payment terms. Fairpoint reserves the right to suspend ongoing services in cases of overdue or unpaid accounts.
Additional work outside the agreed scope may be subject to separate billing upon notice to the client.
Confidentiality
Fairpoint Consulting and Accounting treats all client information with professionalism and confidentiality.
We shall take reasonable measures to protect client records and information and shall not disclose confidential information except:
- With client authorization
- When required by law or government authorities
- When necessary for regulatory compliance or professional obligations
Client information handling shall be governed in accordance with the Data Privacy Act of 2012 and related regulations of the National Privacy Commission.
Use of Technology and Software
Fairpoint may utilize third-party accounting systems, cloud platforms, and digital tools, including solutions from QNE Software and other providers, to support client operations and service delivery.
While we strive to recommend reliable systems and practices, Fairpoint does not guarantee uninterrupted availability, error-free operation, or specific financial outcomes arising from the use of third-party software platforms.
Limitation of Liability
Fairpoint Consulting and Accounting shall not be liable for:
- Losses resulting from inaccurate or incomplete client information
- Delays caused by government agencies, system outages, or force majeure events
- Business losses, indirect damages, or consequential damages beyond the value of the service fees paid
- Penalties or liabilities arising from client actions, omissions, or non-compliance
Our liability, if any, shall be limited to the amount of professional fees paid for the specific service engagement involved.
Intellectual Property
All website content, branding, materials, templates, reports, and service methodologies created by Fairpoint remain the intellectual property of Fairpoint unless otherwise agreed in writing.
Clients may not reproduce, distribute, or commercially use such materials without prior written consent.
Termination of Services
Either party may terminate services upon reasonable notice, subject to settlement of outstanding obligations and turnover of available records or deliverables.
Fairpoint reserves the right to discontinue services in cases involving:
- Non-payment of fees
- Fraudulent or unlawful activities
- Abusive or inappropriate conduct
- Failure to provide necessary documents or cooperation
